Terms of Use

1. Acceptance of Terms

By accessing or using GemPulse at https://app.gempulse.io or any associated services (collectively, the "Platform"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and GemPulse Technologies Inc. ("GemPulse," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Platform. By using GemPulse, you represent that you meet these requirements. The Platform is currently invite-only and access may be restricted or revoked at our discretion.

3. No Financial Advice

GemPulse provides data, analytics, and proprietary scoring for informational purposes only. Nothing on the Platform constitutes financial, investment, tax, or trading advice. Our scores and signals do not constitute a recommendation to buy, sell, or hold any security. You are solely responsible for your own investment decisions. 4. Permitted Use

You agree to use the Platform only for lawful, personal, non-commercial purposes. You may not:

  • Reproduce, distribute, or resell any GemPulse content, scores, or data without written consent
  • Scrape, crawl, or programmatically extract data from the Platform
  • Reverse-engineer, decompile, or attempt to derive source code from the Platform
  • Use the Platform to build a competing product or service
  • Share your account credentials or allow others to access your account
  • Attempt to circumvent any access controls, rate limits, or security measures

5. Account Registration & Security

Access to GemPulse requires a registered account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@gempulse.io if you suspect unauthorized access.

6. Intellectual Property

All content, scoring models, algorithms, UI designs, trademarks, and data on the Platform are the exclusive property of GemPulse Technologies Inc. or its licensors. Nothing in these Terms transfers any intellectual property rights to you. You receive only a limited, non-exclusive, non-transferable license to access and use the Platform for personal purposes.

7. Data Accuracy & Availability

While we strive for accuracy, GemPulse makes no guarantees regarding the completeness, timeliness, or accuracy of any market data, scores, or analytics. Market data is sourced from third-party providers and may be delayed or contain errors. The Platform may be unavailable due to maintenance, market conditions, or events outside our control. We are not liable for any losses arising from reliance on Platform data.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GEMPULSE TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 CAD.

10. Indemnification

You agree to indemnify and hold harmless GemPulse Technologies Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature survive termination (including Sections 3, 6, 8, 9, 10, and 13) shall continue in effect.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described therein.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
